AmeriList, Inc. ("AmeriList") acts as an agent to assist our clients with various data and direct marketing needs. AmeriList does not compile, own, or store any marketing databases, but operates as an intermediary between data compilers, list owners, and list managers. By accessing or using our services, you agree to the following terms and conditions:

1. No Ownership or Storage of Data

AmeriList does not compile or maintain ownership of any data provided to our clients. Data files sold to clients are not retained by AmeriList for more than 30 days after delivery. After this period, AmeriList disclaims any responsibility for maintaining or storing such data.

2. Accuracy of Data

AmeriList assumes no liability for the accuracy, completeness, or correctness of the data supplied to clients, nor the manner in which it is used. We act solely as an agent between data sources and the purchasers of such data. The client assumes full responsibility for the use and application of the data provided.

3. Limitation of Liability

To the fullest extent provided by law, AmeriList, Inc. shall not be liable for any loss, damages, or claims arising out of the use or misuse of data or marketing services provided by AmeriList. The total liability of AmeriList, Inc. shall be limited to the amount paid by the client under the executed agreement between the client and AmeriList, Inc.

4. Compliance with Laws

AmeriList makes every effort to work only with list compilers who have obtained data in a legitimate and lawful manner. We use commercially reasonable efforts to confirm that all products and services provided comply with applicable federal and state laws regarding the collection, use, and distribution of such information. However, AmeriList does not guarantee the legality or accuracy of any data provided by third-party sources.

5. Indemnification

The purchaser agrees to indemnify, hold harmless, and defend AmeriList, Inc., its officers, directors, employees, and agents against any and all claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of:

  • Any breach of this agreement by the purchaser.
  • Any claim of infringement of intellectual property rights, including but not limited to patents, trademarks, copyrights, or other proprietary rights, arising from the purchaser's use of the data.

6. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

7. Severability

If any provision of this agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of the agreement shall otherwise remain in full force and effect.

8. Amendments

AmeriList, Inc. reserves the right to amend or modify these terms at any time. Your continued use of our services after any changes to these terms will constitute your acceptance of such changes.
